PART 1 — TERMS AND CONDITIONS OF USE

1. Acceptance of Terms

Welcome to the website located at https://www.vanquish-am.com (the "Website"), operated by Vanquish Hockey Ltd., a corporation existing under the laws of Alberta, doing business as Vanquish Advanced Manufacturing. These Terms and Conditions of Use (the "Terms") govern your access to and use of the Website, including all content, functionality, and services offered on or through the Website.

By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Website.

If you are accessing or using the Website on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Changes to These Terms

We may revise and update these Terms at any time, in our sole discretion, without prior notice. All changes are effective immediately when posted and apply to all access to and use of the Website thereafter. Your continued use of the Website following the posting of revised Terms means that you accept and agree to the changes. You are responsible for reviewing these Terms periodically for updates.

3. Intellectual Property; No Licence Granted

3.1 Ownership. All content on the Website — including but not limited to text, graphics, images, logos, icons, audio and video clips, data compilations, software, and the design, selection, and arrangement thereof — together with our patents, patent applications, industrial designs, product designs, trademarks, trade secrets, know-how, technical information, and all other intellectual property, whether registered or unregistered (collectively, the "IP"), is owned by, controlled by, or licensed to Vanquish, and is protected by Canadian and international intellectual property, copyright, trademark, patent, industrial design, and other proprietary rights laws.

3.2 No Licence or Right Granted. No information displayed or made available through this Website constitutes the grant of any licence or other right, whether express, implied, by estoppel, or otherwise, under any patent, patent application, copyright, trademark, industrial design, trade secret, know-how, or other intellectual property right owned, controlled, or licensed by Vanquish.

The publication, display, or description of any product, process, concept, prototype, or technology on the Website does not grant, and shall not be construed as granting, any person or entity any right or permission to copy, reproduce, manufacture, have manufactured, reverse engineer, decompile, disassemble, modify, adapt, create derivative works from, commercialize, sell, license, distribute, or otherwise exploit, in whole or in part, any such product, process, concept, prototype, or technology, whether for commercial or non-commercial purposes.

Any rights not expressly granted in these Terms are reserved by Vanquish. Any use of the Website or its content not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, patent, and other laws.

3.3 Limited Permitted Use. Subject to your compliance with these Terms, Vanquish grants you a limited, non-exclusive, non-transferable, revocable licence to access and view the Website and its content for your own personal, non-commercial informational purposes only. This limited licence does not include any right to: resell or make commercial use of the Website or its content; collect and use any product listings, descriptions, technical data, or specifications for the benefit of any third party; download, copy, or otherwise transfer any content for the benefit of any third party; use any data mining, robots, or similar data-gathering or extraction methods; or use the Website or its content other than for its intended purpose.

4. Products, Prototypes, and Technology Under Development

Not all products, technologies, or concepts described, depicted, or referenced on the Website are finished, commercially available products. Some content may relate to prototypes, concepts, research and development projects, testing programs, or technology that is under development and not yet commercially available or fully validated.

Accordingly:

  • Specifications, materials, components, performance characteristics, appearance, dimensions, capabilities, testing results, availability, timelines, and commercialization plans described on the Website are subject to change without notice and without liability to Vanquish.

  • Descriptions of anticipated, projected, targeted, or potential performance characteristics or benefits are forward-looking in nature, are not guaranteed, and do not constitute a warranty, representation, or commitment of any kind by Vanquish, whether as to performance, safety, regulatory approval, commercial viability, or otherwise.

  • Nothing on the Website should be relied upon as confirmation that any product, prototype, or technology will be commercialized, will perform as described, or will become available on any particular timeline, or at all.

5. No Reliance; No Warranties

5.1 General Informational Purposes. The information on the Website is provided for general informational purposes only. While we make reasonable efforts to keep the information accurate and up to date, we do not represent, warrant, or guarantee that any information on the Website is complete, current, accurate, reliable, or error-free.

5.2 "As Is" / "As Available." TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ALL CONTENT, INFORMATION, PRODUCTS, AND SERVICES DESCRIBED ON OR ACCESSED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR ACCURACY.

Vanquish does not warrant that: (a) the Website will be uninterrupted, timely, secure, or error-free; (b) the results obtained from use of the Website will be accurate or reliable; or (c) any errors in the Website will be corrected.

Nothing in this section is intended to exclude or limit any warranty or condition that cannot lawfully be excluded or limited under applicable Canadian consumer protection legislation.

6. Investment and Corporate Information

The Website may be viewed by shareholders, potential investors, licensees, strategic partners, and other stakeholders. Nothing contained on the Website constitutes, and nothing on the Website should be construed as: an offer to sell, or a solicitation of an offer to buy, any securities of Vanquish or any of its affiliates, in any jurisdiction; investment, financial, tax, or legal advice; or a representation, warranty, or guarantee regarding the future value, performance, revenue, profitability, or prospects of Vanquish or any of its products or technologies.

Any statements regarding potential markets, commercialization opportunities, licensing opportunities, partnerships, or future performance are forward-looking statements only, involve known and unknown risks and uncertainties, and should not be relied upon as guarantees or predictions of future events. Actual results may differ materially from any such statements. (See also Part 3, the standalone Investment / Forward-Looking Statements Disclaimer, below.)

Persons interested in investment or licensing opportunities involving Vanquish should contact us directly and should not rely solely on Website content in making any investment, licensing, or business decision.

7. Prohibited Uses

You agree not to, and not to permit or assist any third party to:

(a) scrape, crawl, harvest, or use any automated means (including bots, spiders, or scrapers) to access, collect, or extract data or content from the Website, except as permitted by a published robots.txt file or with our prior written consent;

(b) copy, reproduce, download, distribute, publicly display, or publicly perform any material from the Website except as expressly permitted under Section 3.3;

(c) interfere with, disrupt, or attempt to gain unauthorized access to the Website, the servers or networks on which it is hosted, or any accounts, systems, or networks connected to the Website;

(d) introduce any virus, malware, worm, trojan horse, or other harmful or malicious code, file, or program to the Website;

(e) use any content, data, product designs, technical information, or other materials obtained from the Website for any unauthorized commercial purpose;

(f) misrepresent or imply an affiliation, endorsement, sponsorship, or partnership with Vanquish that does not exist;

(g) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, or organization of any product, prototype, or technology referenced on the Website, or otherwise reproduce or exploit our product designs or technology without authorization;

(h) use the Website in any manner that violates any applicable federal, provincial, or local law or regulation; or

(i) impersonate or attempt to impersonate Vanquish, a Vanquish employee, another user, or any other person or entity.

Vanquish reserves the right to investigate and take appropriate legal action against anyone who, in Vanquish's sole discretion, violates this section, including reporting such conduct to law enforcement authorities.

8. Trademarks and Branding

"Vanquish," "Vanquish Hockey," "Vanquish Advanced Manufacturing," and all related names, logos, product names, taglines, and designs (collectively, the "Marks") are trademarks or trade names of Vanquish, whether registered or unregistered. Other trademarks, product names, and company names or logos appearing on the Website may be the property of their respective owners.

Nothing on the Website should be construed as granting, by implication, estoppel, or otherwise, any licence or right to use any Mark displayed on the Website without our prior written permission or that of the applicable third-party owner. Any unauthorized use of the Marks is strictly prohibited.

9. Third-Party Links

The Website may contain links to third-party websites, applications, or resources that are not owned or controlled by Vanquish. Vanquish has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites. A link to a third-party website does not constitute or imply an endorsement, sponsorship, or recommendation by Vanquish of that third party, its website, products, services, or the information contained therein.

You acknowledge and agree that Vanquish shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of, or reliance on, any content, goods, or services available on or through any third-party website.

10. Disclaimer of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VANQUISH, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT VANQUISH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL VANQUISH'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE WEBSITE EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

THE LIMITATIONS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION, AND NOTHING IN THESE TERMS IS INTENDED TO LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR GROSS NEGLIGENCE, WILFUL MISCONDUCT, OR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, WHERE SUCH LIMITATION IS PROHIBITED BY LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless Vanquish and its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of, or access to, the Website; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (d) any content or data you submit, post, or transmit through the Website.

12. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You irrevocably agree that the courts of the Province of Alberta shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

13. General Provisions

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect.

Entire Agreement. These Terms, together with our Privacy Policy and any other legal notices published by Vanquish on the Website, constitute the entire agreement between you and Vanquish concerning the Website and supersede all prior agreements and understandings, whether written or oral.

Waiver. No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of Vanquish. No failure or delay by Vanquish in exercising any right under these Terms shall operate as a waiver of that right.

Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without Vanquish's prior written consent. Vanquish may assign these Terms without restriction.

No Third-Party Beneficiaries. These Terms do not confer any rights or remedies on any person other than you and Vanquish.

Force Majeure. Vanquish shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control.

PART 2 — PRIVACY POLICY

1. Introduction and Scope

Vanquish Hockey Ltd., doing business as Vanquish Advanced Manufacturing ("Vanquish," "we," "us," "our"), respects your privacy and is committed to protecting the personal information you provide to us. This Privacy Policy describes how we collect, use, disclose, and protect personal information submitted through our website at https://www.vanquish-am.com (the "Website") and through related interactions such as contact forms, email correspondence, product interest mailing lists, and inquiries.

This Policy applies to personal information collected through the Website and related interactions with Vanquish. It does not apply to information practices of third parties, including any third-party websites linked from the Website, or to a licensee's own use of information disclosed to it as described in Section 8 below.

We are committed to complying with applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA), Canada's anti-spam legislation (CASL), and, where applicable to our operations as an Alberta-based organization, the Alberta Personal Information Protection Act (PIPA), as well as any other applicable provincial or federal privacy legislation.

2. What Personal Information We Collect

When you contact Vanquish or submit information through the Website, we may collect:

  • Contact and identification information: your name, company or organization, position or title, mailing address, email address, and telephone number.

  • Areas of business or commercial interest: information about your organization's or your own business, commercial, licensing, or investment interest in Vanquish, its technology, or its products.

  • Inquiry and correspondence content: the content of any message, question, or inquiry you submit to us, and any other information you voluntarily provide.

  • Product interest / mailing list information: name, email address, and the specific product(s) or technology you have identified as being of interest, when you sign up through a mailing list, waitlist, or interest form to express interest in purchasing a product before it is available for retail sale.

  • Technical and usage information: IP address, browser type and version, device type, operating system, referring/exit pages, pages visited, time spent on pages, and other diagnostic or usage information collected automatically through cookies and similar technologies (see Section 6).

We do not knowingly collect sensitive categories of personal information (such as health information, financial account numbers, or government identification numbers) through the Website, and we ask that you not submit such information through our contact forms or interest sign-ups.

3. How and Why We Collect Personal Information

We collect personal information directly from you when you voluntarily provide it — by completing a contact or inquiry form, signing up for a product interest mailing list, sending us an email, or otherwise communicating with us through the Website. We also collect certain technical information automatically as you browse, through cookies and similar tracking technologies.

We collect and use personal information for purposes that a reasonable person would consider appropriate in the circumstances, including to:

  • respond to your inquiry;

  • identify and communicate with parties interested in Vanquish's intellectual property, technology, products, or business opportunities;

  • evaluate potential licensing, acquisition, strategic, or other commercial opportunities;

  • provide information you have requested;

  • conduct follow-up communications relating to your inquiry or expressed area of interest;

  • notify you when a product you have expressed interest in becomes available for retail sale, and provide your expression of interest to the licensee responsible for manufacturing, distributing, or selling that product, as described in Section 8;

  • administer and improve our Website and business processes, including through aggregated or anonymized analytics;

  • comply with applicable legal and regulatory requirements; and

  • protect the rights, property, and safety of Vanquish, our users, and others.

Vanquish does not sell personal information to third parties.

4. Consent

By submitting personal information to us through the Website (for example, through a contact form or a product interest sign-up), you consent to our collection, use, and disclosure of that information as described in this Policy.

Where you sign up for a product interest mailing list, we will clearly disclose, at or before the point of sign-up, that (a) the product may in the future be manufactured, distributed, or sold under a licensing arrangement with a third party, (b) that third party is not known to us at the time of your sign-up, and (c) your name, email address, and expression of interest may be disclosed to that third party once identified, subject to the notice and opt-out process described in Section 8. Signing up constitutes your consent to that future disclosure, subject to your right to opt out as described in Section 8.

Where required by applicable law, we will seek your express consent before collecting, using, or disclosing personal information for purposes not identified in this Policy. Consent may be express or implied, depending on the sensitivity of the information and the reasonable expectations of the individual, in accordance with applicable law.

You may withdraw your consent to our collection, use, or disclosure of your personal information at any time, subject to legal or contractual restrictions and reasonable notice, by contacting us as set out in Section 17. Withdrawing consent may limit our ability to respond to your inquiries, notify you of product availability, or provide requested information.

5. Electronic Communications

If you provide your contact information in connection with an inquiry, a product interest sign-up, or an expressed interest in a Vanquish business, licensing, or commercial opportunity, we may use that information to respond to your inquiry and to communicate with you regarding that opportunity, including follow-up communications.

To the extent any such communication constitutes a "commercial electronic message" under Canada's anti-spam legislation (CASL), we will obtain any additional consent required by that legislation before sending it, and each such message will include a functioning mechanism to unsubscribe. You may withdraw your consent to receive commercial electronic messages from us at any time, either by using the unsubscribe mechanism provided in the message or by contacting us as set out in Section 17.

6. Cookies and Analytics

The Website uses cookies and similar tracking technologies for the purposes described below. We do not use advertising pixels or third-party ad-targeting cookies.

Google Analytics. We use Google Analytics to help us understand how visitors use the Website (for example, pages visited, time on site, and general traffic patterns). Google Analytics uses cookies to collect this information in an aggregated or pseudonymized form. Google acts as a data processor for this purpose, and Google's own privacy practices govern how it handles this data on its servers. You can learn more about how Google collects and processes data through Google's own privacy and terms pages, and you can opt out of Google Analytics tracking using Google's publicly available browser opt-out tools.

Google Search Console. We use Google Search Console to monitor and maintain the Website's presence in Google Search results (for example, indexing status and search performance). Search Console primarily provides aggregated search-performance data rather than individual visitor tracking, but operates as part of the Google service ecosystem described above.

Squarespace platform cookies. The Website is built and hosted on the Squarespace platform. Squarespace may set certain cookies necessary for the Website's core functionality (such as security and content delivery), independent of the analytics tools described above.

Most browsers allow you to view, manage, block, or delete cookies through their settings. Please note that blocking certain cookies may affect the functionality of the Website.

7. Contact Forms and Inquiries

Information you submit through a contact form or by email is used to respond to your inquiry and for the related purposes described in Section 3. We retain correspondence for the period described in Section 13, or as necessary to address your inquiry and maintain appropriate business records.

8. Product Interest Mailing Lists and Disclosure to Licensees

Certain areas of the Website allow members of the public to express interest in purchasing a specific product before that product is available for retail sale, by signing up with their name and email address on a mailing list or interest form (a "Product Interest List").

Why we collect this information. We use Product Interest List information to notify you if and when the relevant product becomes available for retail sale, and to gauge public interest in a product that may not yet be commercially available (see also Part 1, Section 4, regarding products under development).

No licensee identified at sign-up. Vanquish operates on a licensing model. Some products referenced on the Website may ultimately be manufactured, distributed, or sold to the public not by Vanquish directly, but by a third party that enters into a licensing arrangement with Vanquish for that product (a "Licensee"). At the time you sign up for a Product Interest List, Vanquish typically has not yet identified, engaged, or finalized an agreement with a Licensee for that product. We will disclose this at or before the point of sign-up.

Notice before disclosure to a Licensee. If and when Vanquish engages a Licensee for a specific product, we will, before disclosing any Product Interest List information to that Licensee, provide notice to affected sign-ups (by email, using the address provided at sign-up) identifying the Licensee and stating that their information will be disclosed to that Licensee within a 90 day period unless they opt out. This gives you an opportunity to withdraw from the Product Interest List, or otherwise object to the disclosure, before it occurs. If you do not opt out within the stated period, your name, email address, and expression of interest will be disclosed to the identified Licensee for the purpose of enabling the Licensee to notify you about, and make available for purchase, the product in which you expressed interest.

What happens to your information once shared with a Licensee. Once your information is disclosed to a Licensee, the Licensee's own collection, use, and disclosure of your personal information (including any communications the Licensee sends you directly, such as pre-order or launch notifications) is governed by the Licensee's own privacy practices, not this Policy. We encourage you to review the Licensee's privacy policy once you receive notice of its identity. Vanquish is not responsible for a Licensee's handling of personal information after disclosure.

Opting out. You may withdraw from a Product Interest List at any time — including during the notice period described above — by contacting us using the information in Section 17, or by using any unsubscribe mechanism provided in our communications. If you opt out before a Licensee is identified, no disclosure will be made in connection with that Product Interest List. If you opt out during the notice period after a Licensee has been identified but before disclosure occurs, your information will not be disclosed to that Licensee. Withdrawal will not affect information already disclosed to a Licensee prior to your withdrawal request.

9. How We Use and Disclose Personal Information

We use personal information only for the purposes identified at or before the time of collection, or for purposes a reasonable person would consider appropriate in the circumstances, unless we obtain your additional consent or are permitted or required by law to do otherwise. We do not sell personal information to third parties.

We may disclose personal information where reasonably necessary to:

  • a Licensee in connection with a Product Interest List, as described in Section 8;

  • our employees, directors, contractors, and service providers who assist Vanquish in conducting its business or administering the Website (see Section 10);

  • professional advisers (such as legal or accounting advisers) on a confidential basis;

  • a potential acquirer, investor, or successor in connection with a proposed or completed corporate transaction involving Vanquish or its assets, subject to appropriate confidentiality protections; and

  • where required or permitted by law, including in response to a valid legal request from a court, regulator, or law enforcement authority, or to protect the rights, property, or safety of Vanquish, our users, or others, or to investigate suspected fraud or illegal activity.

10. Third-Party Service Providers

We may engage third-party service providers to perform functions on our behalf, such as website hosting, IT support, email delivery, mailing list management, and analytics services. These service providers are given access to personal information only as necessary to perform their functions and are contractually required, where appropriate, to protect personal information and use it only for the purposes for which it was disclosed to them. Licensees receiving information under Section 8 act on their own behalf, not as our service providers, once the disclosure is made.

11. Cross-Border Storage and Processing

The Website is hosted on the Squarespace platform, and our domain is registered through Network Solutions. Our domain registrar (Network Solutions) holds only domain registration and administrative contact information; it does not process visitor personal information collected through the Website.

Squarespace, Google Analytics, and Google Search Console are operated by companies based in the United States, and personal information processed through these services may be stored or processed on servers located outside Canada, including in the United States. A Licensee receiving information under Section 8 may also be located outside Canada, in which case its handling of your information will be subject to the laws of its own jurisdiction. In such cases, personal information may be subject to the laws of those jurisdictions, including laws permitting access by government authorities or courts in those jurisdictions.

By using the Website, you acknowledge this possibility. We take reasonable steps to ensure that service providers handling personal information on our behalf provide a comparable level of protection through their own contractual, technical, and organizational safeguards.

12. Security Safeguards

Vanquish uses reasonable administrative, technical, and physical safeguards appropriate to the nature of the personal information in its possession, designed to protect personal information against loss, theft, unauthorized access, disclosure, copying, use, or modification. No method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security of personal information.

13. Retention of Personal Information

We retain personal information only for as long as reasonably necessary for the purposes for which it was collected, for legitimate business purposes, or as required by law. Product Interest List information is retained until the earlier of your withdrawal request or a reasonable period after the relevant product becomes commercially available or the interest list is discontinued. When personal information is no longer required, we will destroy, erase, or anonymize it in a secure manner.

14. Your Rights: Access and Correction

Subject to applicable law and certain exceptions, you have the right to: request access to the personal information we hold about you; request correction of any inaccurate or incomplete personal information; and receive information about how your personal information has been used or disclosed, including whether it has been disclosed to a Licensee. To exercise these rights, contact us using the information in Section 17. We may require you to verify your identity before providing access to, or correcting, personal information, and may charge a reasonable fee for access requests where permitted by law (we will advise you of any fee in advance).

15. Withdrawal of Consent

Where we rely on your consent to collect, use, or disclose personal information — including consent to disclose your information to a Licensee under Section 8, or consent to receive commercial electronic messages under Section 5 — you may withdraw that consent at any time, subject to legal or contractual restrictions and upon reasonable notice, by contacting the Privacy Officer identified in Section 17. We will explain the implications of withdrawing consent, which may include our inability to notify you of product availability or to respond to your inquiry.

16. Third-Party Websites

The Website may contain links to websites operated by third parties. Vanquish is not responsible for the privacy practices, policies, or content of any third-party website. See also Part 1, Section 9, of these Terms for further detail on third-party links.
